1. Scope and acceptance
These Terms govern use of the Wistech Solutions website and the general provision of our technology and professional services. By using the website, requesting services, accepting a quotation, placing an order, signing a proposal, or otherwise engaging Wistech Solutions, you agree to these Terms.
2. How our agreements work
These corporate Terms are the general foundation. A proposal, quotation, Statement of Work, service agreement, licence, subscription order, SLA, data-processing agreement or other written service-specific document may add to or replace parts of these Terms for an engagement. If they conflict, the specific written agreement applies to that engagement.
3. Services and scope
Wistech Solutions may provide business systems, software development, websites and mobile applications, AI and automation, managed IT, consulting, cybersecurity, cloud, integrations, digital transformation, training, products and related implementation services. Scope, deliverables, dependencies, assumptions and acceptance criteria are those stated in the applicable agreement. We do not promise a particular commercial outcome unless expressly agreed in writing.
4. Proposals, fees and payment
Estimates and timelines are based on information available when prepared. Deposits, milestones, retainers, subscription charges, taxes, third-party costs and payment schedules are set out in the relevant quotation, invoice, order or agreement. Materially overdue amounts may result in suspension after reasonable notice where appropriate.
5. Changes, client inactivity and rescheduling
Changes to scope, requirements, integrations, volumes, environments or deliverables may require a written change request and may affect price and delivery. Delays caused by missing information, approvals, access, feedback or client inactivity may require a revised schedule, resourcing plan or remobilisation arrangement, as agreed for the engagement.
6. Delivery, review and acceptance
Testing, review, user acceptance, deployment and handover are governed by the relevant agreement. A client should review deliverables within the agreed period and provide actionable feedback. Where an agreement provides for deemed acceptance, acceptance will occur as described there. Defect correction does not include new features, changed requirements or third-party changes unless separately agreed.
7. Software, source code and intellectual property
After all applicable fees are paid, a client may receive ownership or licence rights to defined bespoke deliverables as stated in the agreement. Wistech Solutions retains ownership of its pre-existing intellectual property, reusable libraries, frameworks, methods, templates, know-how and tooling. Wistech products and platforms are licensed or subscribed to; access does not transfer ownership of their source code or underlying platform.
Repository access, source-code delivery, documentation, credentials and handover are provided only to the extent and at the point stated in the applicable agreement. Third-party and open-source components remain subject to their own licences.
8. Attribution, white-label and portfolio rights
For digital builds, any attribution, white-label or credit-removal arrangement must be stated in the applicable proposal or service agreement. Unless confidentiality, white-label terms or a written agreement says otherwise, Wistech Solutions may identify itself as the delivery partner and describe completed work in its portfolio, case studies and promotional materials using only information reasonably appropriate for that purpose.
9. Domains, hosting, licences and third parties
Services may depend on registrars, hosting and cloud providers, payment gateways, email providers, APIs, AI/model providers, open-source software and other external platforms. Their availability, prices, terms and policies can change. Clients are responsible for maintaining ownership, payment and renewal of accounts, domains, licences and credentials unless Wistech Solutions has expressly agreed in writing to manage them.
10. Data, migration and data quality
Clients remain responsible for the lawfulness, quality, accuracy, completeness and backup of information they provide. Data migration, cleansing, mapping, validation, retention and recovery responsibilities must be defined in the applicable scope. Wistech Solutions may rely on client-provided data and is not responsible for issues inherent in its quality, structure or permission status.
11. Support, managed services and security
Managed IT, maintenance, infrastructure and cybersecurity services are delivered only to the agreed scope. Response commitments, maintenance windows, support channels and incident processes apply only when included in an SLA or other written agreement. We may make reasonable security recommendations; no cybersecurity service can guarantee that an incident will never occur.
12. Training and certification preparation
Training dates, fees, attendance, materials, rescheduling, cancellation and certificates are governed by the relevant registration or training agreement. Training is educational and does not guarantee employment, certification, business results or a particular technical outcome. Certification support or preparation does not imply that Wistech Solutions is an authorised testing centre, academy or vendor partner unless confirmed in writing.
13. AI-enabled services and human review
AI-assisted outputs can be probabilistic, incomplete or inaccurate. Clients must apply appropriate human review, professional judgement, security controls and compliance checks before relying on AI outputs for consequential, regulated, legal, financial, employment, health, safety or other high-impact decisions. The parties should agree any data, model, retention and permitted-use requirements for AI-enabled work in the relevant agreement.
14. Client responsibilities and administration access
Clients must provide accurate requirements, timely feedback and approvals, authorised content and data, suitable access and credentials, and appropriate decision makers. Clients and their authorised users are responsible for changes they make using administrative access. Investigation, restoration or remediation outside the agreed scope may be chargeable.
15. Confidentiality and privacy
Each party should protect the other’s confidential information and disclose it only to authorised personnel, advisers, subcontractors or service providers who need it for the engagement, or where required by law. Personal information is handled in accordance with our Privacy Policy and any applicable data-processing agreement.
16. Warranties, disclaimers and liability
Wistech Solutions uses reasonable professional care in providing services. Except where a written agreement states otherwise, services and website content are provided on an “as available” basis. To the extent permitted by law, neither party is liable for indirect, incidental or consequential loss. Any liability is subject to the applicable agreement and nothing excludes liability that cannot lawfully be excluded.
17. Suspension, termination and transition
An engagement may be suspended or terminated as set out in its agreement or for material breach, persistent non-payment, misuse or a security threat. Clients remain responsible for work performed and amounts properly due. Transition of data, access, domains, repositories or materials will be handled as agreed and where technically practicable.
18. General legal terms and contact
Neither party is responsible for delay caused by events beyond reasonable control. These Terms are governed by the laws applicable in Ghana, subject to mandatory law and the dispute provisions in the relevant agreement. We may update these Terms from time to time; revised Terms apply from their stated date.
